1. Definitions

In these general terms the following defined terms have the following meaning.

“Connected Skills” means Connected Skills AB, reg. no. 559382-7446.

“Contract Documents” means these the Consultancy Agreement, the Service Agreement, these General Terms, the Privacy Policy and other legal documents or policies posted by Us on Our website.

“Consultancy Agreement” means a separate agreement supplied by an MSP provider like Connected Delivery AB or other,  stipulating the details of the consultancy services matched through the Service signed by the End Customer and the Consultant Supplier when accepting the specific consultancy services.

“Consultant Supplier” means a party that has offered to deliver a consultancy service via Connected Skills.

”Content” means text, graphics, photographs, trademarks, logos, icons, user interfaces, sounds, music, videos, artwork, software and computer code and similar, including but not limited to the “look and feel”, layout, design, structure, colour scheme, selection, combination and arrangement of content.

”Book Consultant” means when both the End Customer and the Consultant Supplier have confirmed the Booking of a Consultant within the service.

”Data Protection Legislation” means the provisions of the general data protection regulation (GDPR) applicable for the protection for Personal Data.

“End Customer” means a potential purchaser of consultancy services having an account at www.connectedskills.se.

”Our Content” means Content owned by Us or licensed to Us.

”Personal Data” means personal data that is subject to protection under Data Protection Legislation.

”Privacy Policy” means the separate conditions regarding the usage of Your Personal Data located at Our website.

“Service” means the service of brokering consulting services provided by MSP solution  like Connected Delivery.

”Further Services” means any other services provided by Connected Skills outside the scope of the Services.

“Consultant” means a person that offer it services in Connected Skills.

“Job” means a post job in Connected Skills or a initiated contact from an “End Customer” in Connected Skills.

“Us” or “We” or “Our” means Connected Skills.

“User” means a person that has an account at www.connectedskills.se.

“You” means End Customer or Consultant Supplier.

“Your Account” means Your registered account at www.connectedskills.se.

2. Introduction

These General Terms constitutes a binding contract between You and Connected Skills and governs Your access to and use of the websites and tools owned by Connected Skills and used to connect buyers and sellers of consultancy services.

By opening Your Account and thereby clicking to accept or agree to these General Terms when this option is made available, You accept and agree to be bound and abide by these General Terms.

These General Terms may be modified by Us at any time and such modifications will be effective immediately upon posting. You may need to accept the new General Terms before being able to use the Service.

If any Contract Documents differ, they shall be interpreted in the following hierarchy: (i) any separate agreement signed by You and Us, , (ii) these General Terms, (iii) the Privacy Policy, (iv) other legal documents or policies posted by Us on Our website.

3. The Service

Connected Skills acts as a matching service of Jobs and Consultants primarily through a digital platform located at the domain www.connectedskills.se connecting End Customers with Consultant Suppliers.

You always own the right to decide on offering or accepting the consultant.

Connected Skills reserves the right to modify the Service or any part thereof without notifications.

4. Registration

You may use the online registration form on Our website to create Your Account that will give You access to features of the Service.

The actual person filling in the registration form must be at least 18 years of age and have the legal authority to bind the legal identity signed in.

When completing the registration form You will be required to also agree on the Service Agreement and the Privacy Policy.

With Your Account You are given a non-exclusive and non-transferable right to use the Services for the duration of these General Terms.

5. Our fee and payment

It is no fee to register Your Account.  and the use the Service is free

We will however fee every time a “Booking a consultant” is agreed by you up to 8500.- SEK (excl VAT).

The exact fee, based on veriuse part like, End Customer, Consultant Supplier, and any separate agreement, but will always be very clearly presented to You before You agree to “booking a Consultant” that will needs to be confirmed by both End Customer and Consultant Supplier.

The fee will be invoiced to You in the way You stated in the Service, with the payment term of 15 days.

6. User Content

The following terms apply to Content submitted by You.

a) You are responsible for ensuring that any Content submitted by You is accurate, complete, updated and in accordance with applicable legislation.

b) Connected Skills have the right and will use the Content You submit to the Service a) to provide the Service b) to analyse and develop the Service, and c) to gather data for statistical purposes.

c) By agreeing to these General Terms, You agree to Connected Skills using Your Content in accordance with the Privacy Policy found on our website.

d) Connected Skills is not allowed to use Your Content for any other purpose than what is stated in these General Terms and the Privacy Policy, unless You and Connected Skills have agreed on otherwise.

e) When submitting Personal Data from another individual, You are responsible for a) informing that individual about the Privacy Policy, b) gathering consent from the individual about that processing, and c) informing the individual that they have the right to have their Personal Data removed or corrected.

f) Connected Skills reserves the right to offer third party services and products to You based on the preferences that You identify in Your registration and at any time thereafter or You agree to receive, such offers may be made by Connected Skills or by third parties.

g) Connected Skills reserves the right, but are not obliged to, monitor and may, at its sole discretion, remove data submitted to the Service that breaks the General Terms. If not removed by Connected Skills or You, Connected Skills reserves the right to store data submitted by You as long as it is relevant in accordance to clause 5.3.

h) When signing the Service Agreement, You accept that Connected Skills are allowed for marketing purpose present Your company name and logo on Our website and other social media.

7. Your conduct

The following terms apply to Your conduct when accessing or using Our webpage or the Service and applies for a period of nine (9) months thereafter.

a) You are obliged to act in a loyal manner towards Us and not damage Our interest in relation to other End Customers or Consultant Suppliers.

b) You may not employ a consultant presented through the Service.

c) When You have found a consultant or a job using the service, you are obligated to use this service if you wish to proceed with the booking. You cannot move forward with information obtained from the service by yourself or to an external party or in any way exploit data gathered from the service to act independently outside of this service.

d) You may not use the Services if you are a competitor to Us or aim to use any information to compete with Us.

e) You agree not to interfere with or disrupt the Service or the servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service.

f) You agree not to download, print, reproduce, duplicate, copy, sell, resell, let a third party have access, or exploit for any commercial purpose any portion of the Service, use of the Service or access to the Service (e g You may not use the Service or Content in the Service for recruiting consultants outside of the Service).

g) You agree not to engage in any activity that would constitute a criminal offense or give rise to a civil liability.

h) You agree not to impersonate any person or entity, including, but not limited to, Connected Skills, or falsely state or otherwise misrepresent Your affiliation with any person or entity.

i) You agree not to interfere with any other user’s right to privacy, including by harvesting or collecting personally identifiable information about users of the Service or posting private information about a third party.

j) You agree to only submit data to the Service that is relevant for the purpose of the Service.

k) You agree to try to choose a strong and secure password to Your Account and to keep your password secure and confidential. You are responsible for anything that happens though Your Account unless You have closed it or priorly reported misuse.

l) You are obliged to fulfil an accepted service subject to payment being made.

m) You agree to carry out an onboarding of the Service either in a meeting or digitally. As well as taking in updates and information for educational purposes to the level that You can handle the Service in a correct way.

n) You are responsible to at all times use the Service in compliance with the laws and regulations of the country in which You are situated and in the Country in which the Service and the Consultancy Service is carried out or purchased.

o) You may not sell or purchase or get paid for a specific consultancy service presented trough the Services, or act in a way that this is possible, other than by using Us as a broker following the Contractual Documents provided by Us, including the payment instructions.

8. Intellectual property rights

All Content present on Our website, except Content supplied by End Customers or Consultant Suppliers, is owned by or licensed to Us. Our Content is protected by copyright, trademark and various other intellectual property and unfair competition laws.

Except with Our express written permission or as permitted by applicable laws, You may not copy, distribute, reproduce, mirror, frame, publicly display, publicly perform, translate, create derivative works of, re-publish or transmit the Service or any Content (in whole or in part) not supplied by You in any way or through any medium for distribution, publication or any commercial purpose.

Connected Skills shall have a fully paid-up, royalty-free, worldwide, transferable, sub-licensable, assignable, irrevocable and perpetual license to implement, use, modify, commercially exploit, and/or incorporate into the Services or otherwise use – any suggestions, enhancement requests, recommendations or other feedback We receive from You or other third parties acting on Your behalf.

9. Breaches of Your obligations

If you breach the stipulations in these General Terms or otherwise stated in the Contractual Documents, Connected Skills can revoke Your Account with immediate effect, terminate the Services in advance and/or claim for damages.

10. Limitation of Our liability

The Service is provided on an “as is” basis without any warranties of any kind.

Connected Skills have no responsibilities in regards of the consultancy services itself. All rights and responsibilities in regards of the consultancy services is made between the End Customer and the Consultant Supplier or appointed organization.

Your remedy due to Our breach of the Contractual Documents or fault in the Service shall solely be a reduction of the fee paid to Us in connection with the brokering of the consultancy services.

We are in no event liable for any payment for damage including, but not limited to, (a) indirect loss or consequential loss; (b) damage to and/or corruption of data, or (c) loss or damage resulting from the use of the Service.

We disclaim any and all liability of any kind for any unauthorized access to or use of your Personal Data.

The limit of Our total responsibility towards You during a single calendar year is limited to the lower of 20 % of the fee paid during that period due to the Service or SEK 50.000.

11. Termination

Unless otherwise agreed between You and Connected Skills, the General Terms shall remain one (1) year after Your Account has become inactive.

Connected Skills reserves the right to terminate Your Account with immediate effect if You breach these General Terms. We may also terminate Your Account with immediate effect to comply with any applicable law or judicial decision, or if the Service is used by You in a way that may damage Connected Skills.

You are responsible for always having updated and accurate contact details in Your registration form.

The contact information of Connected Skills are found on Our website.

13. Further Services

If You request more time or services of Connected Skills than supplied in the standard form of the Service (“Further Services”) we will, in order to perform such work, charge an extra fee as stated in the regulated hourly rate list found below:

Customer-unique training efforts in addition to those that come with onboarding and the digital tools such as e-learning, FAQ, chat, etc.	950.-
Head hunting Consulting services	1 050.-
Manual setup of CV profiles	550.-
Project management, for example, at your organizational changes or similar	1 200.-

Payment terms for further service above:
All prices are in SEK and excl. VAT, invoiced with 30 days payment terms.
Prices will be indexed annually at the end of the calendar year.

Further Services must be approved in writing by both parties before the Further Services is performed.

14. Cookies

The Service uses cookies. Cookies are used to store login information. You can deactivate cookies in your web browser, but if You do so this can negatively affect the usage of the Service. By agreeing to these General Terms, You also agree to how Connected Skills use cookies.

15. Assignment

You may not assign or pledge the General Terms or any rights or obligations hereunder without Our prior written consent.

16. Non-Disclosure

The content of the Service Agreement and Consultancy Agreement is confidential and may not be disclosed to third parties.

17. Applicable law

The General Terms and Contractual Documents shall be governed by Swedish substantive law without following any rules of law appointing another country’s laws.

Any disputes or claims arising  shall be conclusively resolved in the court of Malmö (Sw Malmö tingsrätt) as first instance.
